Who likes reading contracts anyway? For your convenience, below is a summary of the key changes. It will help you understand the proposed constitution.
Math! Changes in fractions and quantities for votes and quorums:
- Article VII Section 10. To override the decision of the Board on a specific question, a petition signed by
15one-fifth of members… - Article IX Section 2. quorum for the transaction of business requiring a vote at a regular club meeting shall be
one-thirdone-quarter of the membership… - Article IX Section 3. A quorum of the Board shall be five, one of whom must be an Officer and one of whom must be a Director. (unchanged)
- Article IX Section 4. A quorum of the Executive Council shall be four. (added)
- Article XII Section 4. Special assessments must be approved by two-thirds of the full Board of Directors… (unchanged)
- Article XVII “This Constitution and By-Laws may be amended by a two-thirds vote of members present, voting absentee, or having delegated their vote to a proxy*“… (added voting absentee)
How to vote:
- Now absentee votes are allowed in addition to proxies* and being in attendance.
Changes to Standing Committees (Article XIV Section 3)
- The Education Committee was broken out of the Program Committee.
- The Refreshments Committee was recast as the Social and Refreshments Committee.
- The Affiliations Committee was moved to the right spot in the constitution. This is for representatives to the Maryland Photography Alliance and the Photography Society of America, etc.
- The Web Committee had previously been implicit in the constitution.
Changes in Duties:
- The Secretary shall “collect and report on the results of votes.“ (addition)
- The Archives committee no longer archives correspondence, Cable Releases Newsletters, and other documents pertaining to Club Activities.
- The Competition committee shall …”coordinate with the Archives Committee for recording and status of member points and competition levels”… (addition)
Newsletter and Website:
- Article X Section 1. The name of the Cable Release newsletter is no longer explicitly named in the constitution. This way if we chose a new name, we don’t have to change the constitution.
- Article X Section 4. There are fewer required materials for the website.
- Article X Section 4. Added that we have the freedom to change our “site” location/platform without revising the constitution:That is, anything like a website, Facebook, or something new.
Remember, THE VOTE on the proposed revised constitution IS THURSDAY, APRIL 20, 2023 at the COMPETITION MEETING.

*Proxy: you may delegate your voting power to another member of SSCC, to cast a vote for you in your absence. Please coordinate this with your representative ahead of time. Your email that designates your proxy will enable this vote.
